Annual returns out, confirmation statements in

With effect from 30 June 2016, companies and LLPs are no longer required to file an annual return at Companies House but instead will file a confirmation statement.

The confirmation statement will serve the same purpose as the annual return, which is to keep up-to-date the information on the public register.

Prior to 30 June, an annual return had to be filed once a year within two weeks of a set date.

The new rules depart from that rigid approach and state that companies must file a confirmation statement at least once in any 12 month period.

For example, a company which has filed a confirmation statement in August, but then makes a filing to reflect a change in directors in December may choose to file a confirmation statement at the same time. If the company chooses to do this then they do not need to file a further confirmation statement until the December of the following year.

The fee for filing a confirmation statement is £13 for an online filing (the same as an annual return) but this fee is only payable once in a 12 month period, regardless of the number of confirmation statement filed.

To complete the confirmation statement you will be required to provide the details of your PSCs. For more information on the PSC register, which was introduced in April of this year.
